Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and HealthsDriven LLC ("HealthsDriven," "Company," "we," "us," or "our"), governing your access to and use of all services, websites, platforms, and content provided by HealthsDriven.
By accessing our website, signing a service agreement, using our consulting services, or engaging with any HealthsDriven product or platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately discontinue use of all HealthsDriven services. Continued use of our services following notice of any changes constitutes acceptance of the revised Terms.
If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have full legal authority to bind that entity to these Terms.

You Must
Provide accurate, current, and complete information during onboarding and maintain the accuracy of that information throughout the engagement.
You Must Not
Share account credentials with unauthorized parties, use another organization's account without authorization, or attempt to circumvent any security controls.
You agree to notify HealthsDriven immediately at legal@healthsdriven.com of any unauthorized use of your account or any security breach. HealthsDriven is not liable for any loss resulting from unauthorized account access that occurs through no fault of ours.
Fees, Payment Terms & Refund Policy
Fees for HealthsDriven services are established in your individual Service Agreement or Statement of Work. By engaging our services, you agree to the following payment and refund terms in full.
4.1 Billing & Invoicing
- Invoices are issued monthly or as specified in your Service Agreement
- Payment is due within 30 days of the invoice date unless otherwise agreed in writing
- For revenue cycle management services, fees are calculated as a percentage of collected revenue as defined in your agreement
- All fees are quoted and payable in U.S. Dollars unless otherwise specified
4.2 Late Payments & Invoice Disputes
Overdue amounts are subject to a late payment fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance. If you dispute any invoice amount, you must notify HealthsDriven in writing within 15 days of the invoice date. Undisputed amounts remain due by the original payment date.
HealthsDriven reserves the right to suspend services for accounts more than 30 days past due. Suspended services will be reinstated within 5 business days of receipt of full payment of all outstanding balances.
All fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of HealthsDriven services, excluding taxes based on HealthsDriven's net income.
4.3 Refund Policy
At HealthsDriven, we are committed to providing professional services and maintaining transparency with our clients. Please review our refund policy carefully before purchasing any of our services.
Refund Eligibility
Clients may request a refund for eligible services by contacting our support team in writing. All refund requests must be submitted within 90 days of the original purchase date. After this 90-day period, the refund policy is no longer applicable, and all payments are considered final. All refund requests must be submitted by email to info@healthsdriven.com before initiating any chargeback, bank dispute, or payment provider dispute. Requests received after a dispute has been opened with a bank or payment processor may not be eligible for review under this refund policy.
Refund Structure
If a refund request is reviewed and approved by HealthsDriven, the client will receive 70% of the original payment amount. The remaining 30% is non-refundable and will be retained to cover costs already incurred by HealthsDriven, including:
- Payment processing and merchant transaction fees
- Banking and administrative charges
- Operational and onboarding costs
- Resources, labor, and time already allocated to the project or service
- Other business-related expenses incurred during service preparation and fulfillment
Refundable — 70%
If your refund request is approved, you will receive 70% of the original payment amount returned to your original payment method within 7–14 business days of approval.
Non-Refundable — 30%
30% of the original payment is retained to cover processing, administrative, onboarding, and labor costs already incurred. This portion is non-refundable under all circumstances.
Non-Refundable Portion Acknowledgment
By purchasing our services, the client acknowledges and agrees that the 30% retained amount represents reasonable and necessary costs already incurred by HealthsDriven and is therefore non-refundable in all cases, including cases where services are cancelled, discontinued, or disputed by the client.
Chargebacks & Payment Disputes
Clients agree to contact HealthsDriven at info@healthsdriven.com to attempt resolution of any concerns before initiating a chargeback or payment dispute with their bank or payment provider. Unauthorized or bad-faith disputes may be contested by HealthsDriven with supporting documentation, including proof of service delivery, communication records, signed agreements, and acceptance records.
Always email info@healthsdriven.com first before contacting your bank. Initiating a chargeback without first contacting us constitutes a breach of this policy and may result in the forfeiture of any refund eligibility.
Service-Based Considerations
Because our services may involve digital work, consultations, business development efforts, marketing preparation, referrals, onboarding, or allocation of internal resources, refunds may not be available once substantial work has commenced or services have been delivered. HealthsDriven will assess each refund request individually based on the stage of service delivery at the time the request is received.
Policy Acceptance
By using our website and purchasing our services, you confirm that you have read, understood, and agreed to this Refund Policy in its entirety. This policy forms part of, and is governed by, the full Terms of Service set out in this document.
We recommend that you have a qualified business attorney review your final website policies to ensure they comply with the laws in the states or countries where you operate and serve clients.
Confidentiality & HIPAA Compliance
HealthsDriven takes confidentiality and healthcare privacy compliance with the utmost seriousness. Both parties acknowledge their obligations under applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and its implementing regulations.
Business Associate Agreement
To the extent that HealthsDriven creates, receives, maintains, or transmits Protected Health Information (PHI) on your behalf in the course of providing services, HealthsDriven will execute a Business Associate Agreement (BAA) with your organization as required by HIPAA. The BAA will govern the handling of all PHI and is incorporated by reference into these Terms.
Mutual Confidentiality
- Both parties agree to maintain the confidentiality of all non-public information disclosed during the engagement
- Confidential information may not be disclosed to third parties without prior written consent, except as required by law
- Confidentiality obligations survive the termination of the service engagement for a period of three (3) years
- HealthsDriven employs industry-standard encryption, access controls, and security measures to protect all client data
HealthsDriven will never sell, rent, or share your confidential business information or your patients' protected health information with any third party for commercial purposes. All data handling is governed exclusively by your BAA and applicable law.
Intellectual Property
All intellectual property rights in and to HealthsDriven's proprietary tools, methodologies, software, templates, processes, training materials, and platform technology ("HealthsDriven IP") are and shall remain the exclusive property of HealthsDriven LLC.
HealthsDriven Owns
All proprietary workflows, internal tools, software, templates, training materials, and methodologies developed by HealthsDriven — regardless of whether they were customized for your engagement.
You Own
All client data, patient records, business information, and deliverables created specifically for your organization — such as custom content, reports, and policy documents produced on your behalf.
You are granted a limited, non-exclusive, non-transferable license to use HealthsDriven deliverables solely for your internal business operations during the term of your service engagement. This license does not include the right to sublicense, resell, or distribute HealthsDriven deliverables to third parties.
Any feedback, suggestions, or recommendations you provide regarding HealthsDriven services may be used by HealthsDriven without restriction or compensation to improve our products and services.
Prohibited Conduct
You agree that you will not, and will not permit any third party to, engage in any of the following prohibited activities in connection with your use of HealthsDriven services:
- Provide false, misleading, or fraudulent information to HealthsDriven or to any payer, regulatory body, or government agency in connection with our services
- Use HealthsDriven services to submit fraudulent claims, engage in upcoding, or engage in any activity that violates the False Claims Act, Anti-Kickback Statute, or any other healthcare fraud and abuse law
- Reverse engineer, decompile, copy, or create derivative works from any HealthsDriven proprietary technology, tools, or methodologies
- Use any HealthsDriven service, platform, or communication channel to transmit harmful, illegal, defamatory, or fraudulent content
- Interfere with or disrupt HealthsDriven's systems, networks, or the accounts of other clients
- Engage in any conduct that exposes HealthsDriven to legal or regulatory liability, including violations of HIPAA, CMS rules, or state-specific healthcare regulations
Violation of any prohibited conduct provision may result in immediate suspension or termination of services and may subject you to legal action and liability for damages caused to HealthsDriven or third parties.
Disclaimers
HealthsDriven services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, to the fullest extent permitted by applicable law.
HealthsDriven expressly disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any guarantee that specific payer enrollment, licensure approval, or regulatory outcome will be achieved
- Any guarantee of specific revenue outcomes, claim approval rates, or collection rates
- That services will be uninterrupted, error-free, or free from security vulnerabilities
HealthsDriven does not provide legal advice. Nothing in these Terms or in any HealthsDriven communication constitutes legal, medical, or regulatory advice. You are solely responsible for compliance with all applicable laws and regulations governing your healthcare organization's operations.
Limitation of Liability
To the maximum extent permitted by applicable law, HealthsDriven's total cumulative liability to you for any claims arising from or related to these Terms or your use of our services shall not exceed the total fees paid by you to HealthsDriven in the three (3) months immediately preceding the event giving rise to the claim.
In no event shall HealthsDriven be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
- Loss of revenue, profits, business, or anticipated savings
- Loss of data, goodwill, or business reputation
- Payer claim denials, regulatory penalties, or survey deficiencies beyond HealthsDriven's reasonable control
- Any damages arising from third-party actions, payer decisions, or regulatory agency determinations
These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise) and even if HealthsDriven has been advised of the possibility of such damages. Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages, so some of the above limitations may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless HealthsDriven LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation
- Your use or misuse of HealthsDriven services
- Your submission of inaccurate, fraudulent, or misleading information to HealthsDriven or any payer or regulator
- Any infringement by you of any third party's intellectual property rights
- Your violation of HIPAA, CMS regulations, or any state healthcare licensing requirements
HealthsDriven reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with our defense of such claims and not to settle any matter without HealthsDriven's prior written consent.
Term & Termination
These Terms remain in effect for as long as you use HealthsDriven services. The specific term of each service engagement is established in your individual Service Agreement.
Termination by You
You may terminate your service engagement by providing written notice as specified in your Service Agreement. Advance notice requirements vary by service type and are detailed in your agreement.
Termination by HealthsDriven
HealthsDriven may terminate services immediately upon written notice if you breach these Terms, fail to make payment, engage in fraudulent conduct, or violate applicable law.
Effect of Termination: Upon termination, your right to use HealthsDriven services ceases immediately. You remain responsible for all fees incurred through the termination date. HealthsDriven will return or destroy your confidential data in accordance with your BAA and applicable law. Provisions of these Terms that by their nature should survive termination — including confidentiality, intellectual property, limitation of liability, indemnification, and governing law — shall survive.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersy, United States, without regard to its conflict of law provisions.
Dispute Resolution Process
- Step 1 — Good Faith Negotiation: The parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute
- Step 2 — Mediation: If negotiation fails, the parties agree to submit the dispute to non-binding mediation with a mutually agreed mediator before pursuing formal legal proceedings
- Step 3 — Arbitration: Unresolved disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in New Jersy
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information. You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
Changes to These Terms
HealthsDriven reserves the right to modify these Terms at any time. When we make material changes, we will notify you by:
- Posting the updated Terms on our website with a revised "Last Updated" date
- Sending an email notification to the primary contact on your account at least 30 days before the changes take effect
- For material changes that significantly affect your rights or obligations, obtaining your written acknowledgment where required by law
Your continued use of HealthsDriven services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of all HealthsDriven services prior to the effective date.
